1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Smart Invoice Online ("Company," "we," "us," or "our"), governing your access to and use of the Smart Invoice Online mobile application (the "App") and website at smartonlineinvoice.com (the "Site"), collectively referred to as the "Service."

By downloading, installing, or using the App, or by accessing the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Smart Invoice Online is an invoice creation and management platform designed to help freelancers, consultants, contractors, agencies, and small businesses create professional invoices, manage clients, track payment statuses, and export PDF documents.

The Service is provided "as is" for legitimate business invoicing purposes. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where possible.

Not a financial service: Smart Invoice Online is an organizational and productivity tool. We do not process payments, hold funds, provide financial advice, or act as a payment processor, bank, or financial institution.

3. Eligibility

To use Smart Invoice Online, you must meet the following eligibility requirements:

  • You must be at least18 years of ageor the age of legal majority in your jurisdiction, whichever is greater.

  • You must have the legal capacity to enter into a binding agreement.

  • You must not be prohibited from using the Service under the laws of your country or jurisdiction.

  • If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you must not access or use the Service.

4. User Accounts & Responsibilities

Smart Invoice Online may be used without creating an account (local device use). If account features are introduced in the future, the following will apply:

4.1 Local Storage Security

  • You agree to provide accurate, current, and complete information when creating an account.

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You agree to notify us immediately of any unauthorized use of your account.

  • One person or legal entity may maintain only one account unless expressly authorized otherwise.

4.2 Cloud Backup (Premium)

Since your invoice and client data is stored locally on your device, you are responsible for:

  • Maintaining backups of your data to prevent loss due to device failure, loss, or damage.

  • Ensuring the accuracy of invoice information you create and share with third parties.

  • Complying with applicable tax laws, invoicing regulations, and financial reporting requirements in your jurisdiction.

Tax compliance: Smart Invoice Online is an invoicing tool, not tax software. You remain solely responsible for ensuring your invoices comply with local tax laws, VAT requirements, and any applicable regulations in your country.

5. Acceptable Use Policy

You agree to use Smart Invoice Online only for lawful purposes and in accordance with these Terms. The following table summarizes permitted and prohibited uses:

Zero tolerance: Any attempt to use Smart Invoice Online to create fraudulent invoices, facilitate money laundering, tax evasion, or any other illegal activity will result in immediate termination and may be reported to the appropriate authorities.

6. Intellectual Property

6.1 Our Property

The Smart Invoice Online App, website, and all associated content — including but not limited to the software code, user interface design, graphics, logos, icons, text, and branding — are owned by Smart Invoice Online and protected by applicable intellectual property laws including copyright, trademark, and trade secret laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App solely for your personal or internal business purposes in accordance with these Terms.

6.2 Your Content

You retain full ownership of all invoice data, client information, and business content you create within the App ("Your Content"). By using the Service, you grant us only the limited rights necessary to operate and provide the Service to you (e.g., storing Your Content on your device or, if applicable, on our servers for the cloud backup feature).

6.3 Restrictions

  • You may not copy, modify, distribute, or create derivative works of the App or any part of our Service.

  • You may not remove, alter, or obscure any proprietary notices or labels on the App.

  • You may not use our name, logo, or branding without prior written consent.

  • You may not use the App to develop competing products or services.

Your data is yours. We make no claim of ownership over any invoices, client records, or business data you create using Smart Invoice Online.

7. Free & Premium Plans

7.1 Free Plan

Smart Invoice Online is currently available at no cost. The Free Plan includes unlimited invoices, PDF exports, client management, payment tracking, and dashboard access. We reserve the right to introduce or modify plan limitations in the future with advance notice.

7.2 Premium Plan (Coming Soon)

A paid Premium Plan with advanced features (including cloud backup, recurring invoices, custom branding, and advanced reports) will be introduced in the future. When the Premium Plan is launched:

  • Pricing and billing terms will be clearly disclosed before any charge is made.

  • Subscriptions will auto-renew unless cancelled before the renewal date.

  • Refund terms will be specified at the time of purchase.

  • Downgrading from Premium to Free will retain your data but may restrict access to Premium features.

7.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance, updates, or unforeseen technical issues may result in temporary interruptions. We will provide advance notice of planned downtime where reasonably possible.

8. Disclaimers & Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Smart Invoice Online expressly disclaims all warranties, including but not limited to:

  • Merchantability:We make no warranty that the Service meets your specific business requirements.

  • Fitness for a particular purpose:We make no warranty that the Service is suitable for any specific invoicing or accounting use case.

  • Accuracy:While we strive for accuracy, we do not warrant that the Service will be error-free, or that calculations, totals, or outputs will be accurate in all cases.

  • Security:Although we implement reasonable security measures, we cannot guarantee that the Service will be free from unauthorized access or data breaches.

  • Continuity:We do not warrant that the Service will be continuously available or free from interruptions, bugs, or errors.

No financial or legal advice: Nothing in the Service constitutes financial, accounting, tax, or legal advice. Always consult a qualified professional for guidance specific to your business and jurisdiction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART INVOICE ONLINE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages.

  • Loss of profits, revenue, data, business, or goodwill.

  • Data loss resulting from device failure, loss, or damage.

  • Errors or inaccuracies in invoices created through the Service.

  • Failure to collect payment from your clients.

  • Third-party claims arising from your use of the Service.

  • Any damages arising from unauthorized access to your account or device.

These limitations apply whether the claim is based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, our liability shall be limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Smart Invoice Online and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Service.

  • Your violation of these Terms.

  • Your violation of any applicable law, regulation, or third-party right.

  • Any invoice, content, or data you create, transmit, or share using the Service.

  • Any dispute between you and a third party (including your clients) arising from invoices or payments.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.

10. Termination

11.1 Termination by You

You may stop using the Service at any time by uninstalling the App from your device. Since your data is stored locally, uninstalling the App will permanently delete all locally stored data. We recommend exporting or backing up your data before uninstalling.

11.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service, at our sole discretion, with or without notice, if we reasonably believe you have:

  • Violated any provision of these Terms.

  • Engaged in fraudulent, illegal, or harmful activity using the Service.

  • Posed a security threat to the Service or other users.

  • Provided false information in connection with your use of the Service.

11.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, and indemnification — shall survive.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Last Updated" date at the top of this page.

  • Notify users of material changes via an in-app notification or, where an email address has been provided, by email.

  • For significant changes, provide at least14 days' advance noticebefore the new Terms take effect.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service.

13. Governing Law & Contact

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which Smart Invoice Online operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

13.2 Dispute Resolution

Before initiating any formal legal proceedings, we encourage you to contact us directly at [email protected] to seek an informal resolution. We are committed to resolving concerns promptly and fairly.

13.3 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

13.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Smart Invoice Online regarding your use of the Service, superseding any prior agreements or understandings.
